1. Acceptance of Terms
These Terms of Service (hereinafter referred to as "Terms") govern your access to and use of the website https://openllm.shop/ (hereinafter referred to as "the Website") and the unified AI LLM API proxy services (hereinafter referred to as "the Service") provided by OpenLLM.Shop (hereinafter referred to as "we", "us", "our").
By accessing, registering an account, logging in, or using any part of the Service (including but not limited to API calls, dashboard operations, payments, and recharge), you confirm that you have read, understood, and fully agreed to these Terms, as well as our Privacy Policy. If you do not agree to any of these terms, you must not use the Service.
We reserve the right to modify these Terms from time to time. Updated Terms will be posted on the Website with the revised "Last Updated" date. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the updated Terms.
2. Eligibility
2.1 You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you are 13 years of age or older, and have the legal capacity to enter into these Terms and comply with all applicable laws and regulations.
2.2 If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that entity accepts these Terms as if it were the user.
2.3 We reserve the right to refuse service to any user, suspend or terminate any account, at our sole discretion, for any reason, including but not limited to non-compliance with these Terms.
3. Account Registration and Management
3.1 To use the Service, you must register an account by providing accurate, complete, and up-to-date information (including but not limited to email address). You are responsible for maintaining the confidentiality of your account credentials (password, API keys) and for all activities that occur under your account.
3.2 You agree to notify us immediately of any unauthorized use of your account or any other security breach. We shall not be liable for any loss or damage arising from your failure to protect your account credentials.
3.3 You may cancel your account at any time through the dashboard or by contacting our support team. Upon account cancellation, your access to the Service will be terminated, and we will delete your account information in accordance with our Privacy Policy, except for data retained for legal, billing, or compliance purposes.
4. Service Description and Usage
4.1 The Service provides a unified API proxy for global AI LLM APIs, enabling you to access 300+ LLMs from 30+ top providers (including but not limited to OpenAI, Anthropic, DeepSeek, Qwen, Kimi, Doubao) through a single interface. We do not own or operate the upstream LLM providers; we only provide routing, caching, and optimization services.
4.2 You agree to use the Service only for legitimate purposes, in compliance with all applicable laws, regulations, and the terms of service of the upstream LLM providers. You shall not use the Service for any illegal, harmful, or abusive activities, including but not limited to:

Generating or transmitting harmful, illegal, defamatory, obscene, or offensive content;

Infringing on the intellectual property rights, privacy, or other rights of third parties;

Conducting DDoS attacks, spam, or other activities that disrupt the Service or the systems of third parties;

Using the Service to train or fine-tune other AI models without explicit authorization;

Bypassing regional restrictions or using the Service in violation of local laws.
4.3 We reserve the right to implement rate limits, quotas, or other restrictions on API usage to ensure service stability and fair usage for all users. We may adjust these limits at our sole discretion, with prior notice where feasible.
4.4 The Service may include beta features or updates, which are provided "as is" without any warranty. We may modify or discontinue beta features at any time without liability.
5. Billing and Payment
5.1 The Service uses a pay-as-you-go billing model, charged based on total tokens (input + output) for API calls. You only pay for the resources you use, and your account balance never expires.
5.2 We offer bonus credits for single-topup transactions: the more you top up, the more bonus credits you receive, up to 400% extra on selected plans. Bonus credits are non-refundable and have the same usage rules as regular credits.
5.3 You agree to provide accurate and valid payment information, and to pay all fees incurred under your account. We use trusted third-party payment processors to handle payment transactions; we do not store complete payment card or sensitive payment information.
5.4 All fees are non-refundable, except in cases where we explicitly agree to a refund (e.g., service outages beyond our control that result in significant disruption).
5.5 You can view detailed API usage and billing information in your account dashboard, including API key used, model name, token breakdown, and corresponding cost.
6. Intellectual Property Rights
6.1 We retain all intellectual property rights in the Service, including but not limited to the Website, API, dashboard, software, code, trademarks, logos, and documentation. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your own legitimate business or personal purposes.
6.2 You retain all rights to the content you transmit through the Service (including prompts and outputs). By using the Service, you grant us a limited license to process, route, and temporarily store such content solely to provide the Service.
6.3 The upstream LLM providers retain all intellectual property rights in their respective models and outputs. Your use of their models is subject to their terms of service.
7. Service Availability and Uptime
7.1 We strive to provide high availability and stability for the Service, with auto-scaling gateways to handle high concurrency. However, the Service may be interrupted due to maintenance, technical issues, upstream provider outages, or other factors beyond our control.
7.2 We do not guarantee 100% uptime of the Service. We will use reasonable efforts to notify users of planned maintenance in advance, and to resolve unplanned outages as quickly as possible.
7.3 For enterprise users with dedicated SLAs (Service Level Agreements), uptime guarantees and compensation terms will be specified in the separate enterprise contract.
8. Limitation of Liability
8.1 To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use or inability to use the Service, including but not limited to loss of data, loss of profits, or business interruption.
8.2 We shall not be liable for any damages caused by the actions or inactions of upstream LLM providers, including but not limited to model errors, output inaccuracies, or service outages of such providers.
8.3 Our total liability to you for any claim arising from these Terms or the Service shall not exceed the total amount you paid to us in the 3 months prior to the claim.
8.4 This limitation of liability does not apply to damages caused by our gross negligence, willful misconduct, or violation of applicable laws.
9. Indemnification
You agree to indemnify, defend, and hold harmless us, our affiliates, employees, and partners from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

Your use of the Service;

Your violation of these Terms or applicable laws;

Your infringement of the rights of third parties (including intellectual property rights, privacy, or other rights);

Any content you transmit through the Service.
10. Termination
10.1 We may terminate or suspend your access to the Service at any time, without prior notice, if you violate these Terms, engage in illegal or abusive activities, or if we determine that your use of the Service poses a risk to us or other users.
10.2 You may terminate these Terms at any time by canceling your account.
10.3 Upon termination, all licenses granted to you under these Terms will immediately terminate. You shall cease all use of the Service, and we will retain data in accordance with our Privacy Policy.
11. Governing Law and Dispute Resolution
11.1 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where we are registered, without regard to its conflict of law principles.
11.2 Any dispute arising out of or in connection with these Terms or the Service shall first be resolved through good-faith negotiation between you and us. If the dispute cannot be resolved through negotiation, either party may submit the dispute to the competent court in the jurisdiction where we are registered.
12. Miscellaneous
12.1 These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service, and supersede all prior or contemporaneous agreements, representations, or understandings.
12.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 We may assign these Terms to a third party in connection with a merger, acquisition, or sale of assets, without your prior consent. You may not assign these Terms without our prior written consent.
12.4 Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or our right to enforce it in the future.
